1. Acceptance of Terms
By accessing or using the Compra Survey platform ("Platform"), including any associated mobile applications, websites, or services, you ("Client" or "you") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Compra Engineering Private Limited ("Compra", "we", "us", or "our"), a company incorporated in India.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must not use the Platform.
2. Description of Service
Compra Survey is a business-to-business (B2B) survey and data collection platform that enables organisations to create, distribute, and analyse surveys. The Platform is available under two service tiers:
Free Tier: Access to core survey features at no cost, subject to usage limits as specified on our pricing page.
Paid Tier: Enhanced features, expanded usage limits, and priority support, available via subscription plans as described on our pricing page.
Features, usage limits, and pricing for each tier are subject to change with reasonable prior notice. Continued use of the Platform after any such changes constitutes acceptance of the updated terms.
3. Eligibility and Account Registration
To use the Platform, you must:
Be a duly registered business entity or an authorised representative thereof;
Provide accurate, complete, and current information during registration;
Maintain the security of your account credentials and promptly notify us of any unauthorised access;
Not create multiple accounts to circumvent usage limits or other restrictions.
Compra reserves the right to refuse registration or cancel accounts at its discretion if eligibility requirements are not met.
4. Permitted and Prohibited Use
4.1 Permitted Use
You may use the Platform solely for lawful business purposes, including creating and distributing surveys, collecting respondent data, and analysing results in accordance with applicable laws.
4.2 Prohibited Use
You must not use the Platform to:
Collect data in violation of applicable data protection laws, including India's Digital Personal Data Protection Act, 2023 (DPDPA);
Send unsolicited communications (spam) to survey respondents;
Impersonate any person or entity or misrepresent your affiliation;
Distribute malware, viruses, or any malicious code;
Attempt to gain unauthorised access to Compra's systems or other users' accounts;
Reproduce, copy, sell, or resell any portion of the Platform without express written permission;
Use the Platform for any unlawful, harmful, or fraudulent purpose.
5. Data Ownership and Intellectual Property
5.1 Client Data
You retain ownership of all survey questions, materials, and configurations you create on the Platform ("Client Content"). You also retain rights to respondent data collected through your surveys ("Response Data") to the extent such data relates to your business operations.
5.2 Compra's Rights
By using the Platform, you grant Compra a non-exclusive, worldwide, royalty-free licence to host, store, process, and display your Client Content solely as necessary to provide the services. In addition, Compra retains the right to:
Use aggregated, anonymised, and de-identified data derived from survey responses across the Platform for product improvement, analytics, benchmarking, and research purposes;
Analyse Platform usage patterns to enhance functionality and user experience.
Compra will not sell individually identifiable Response Data to third parties without your explicit consent.
5.3 Platform IP
All intellectual property rights in the Platform, including software, design, trademarks, logos, and documentation, are and remain the exclusive property of Compra Engineering Private Limited. Nothing in these Terms transfers any such rights to you.
6. Privacy and Data Protection
Your use of the Platform is subject to Compra's Privacy Policy, available at [https://www.getcompra.com/legals/privacy-policy], which is incorporated into these Terms by reference. You acknowledge that:
You are responsible for obtaining all necessary consents from your survey respondents before collecting their personal data;
You must comply with India's Digital Personal Data Protection Act, 2023 (DPDPA) and any other applicable data protection regulations;
Compra processes personal data on your behalf as a data processor and you act as the data principal/fiduciary in respect of your respondents' data;
You must implement appropriate security measures to protect any personal data you collect.
7. Payments and Subscriptions
Clients on the Paid Tier agree to the following:
Subscription fees are billed in advance on a monthly or annual basis, as selected at sign-up.
All fees are quoted in Indian Rupees (INR) and are exclusive of applicable taxes (including GST).
Payments are non-refundable except as required by applicable law or as expressly stated in our Refund Policy.
Failure to pay subscription fees may result in downgrade to the Free Tier or suspension of your account after reasonable notice.
Compra reserves the right to change pricing with at least 30 days' prior written notice.
8. Violations and Enforcement
In the event of a suspected or actual violation of these Terms, Compra will follow a progressive enforcement approach:
Warning: Compra will notify you via email describing the nature of the violation and requesting remediation within a specified timeframe (typically 7 days).
Suspension: If the violation is not remediated, or in cases of repeated violations, Compra may temporarily suspend access to your account. You will be notified of the suspension and its duration.
Termination: For severe, repeated, or willful violations — including but not limited to illegal activity, data breaches caused by negligence, or fraud — Compra reserves the right to terminate your account immediately without prior notice.
Upon termination, your right to access the Platform ceases immediately. Compra will retain your data for up to 90 days post-termination, after which it may be permanently deleted, unless otherwise required by law.
9. Disclaimers and Limitation of Liability
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
To the maximum extent permitted by applicable law, Compra shall not be liable for:
Any indirect, incidental, special, consequential, or punitive damages;
Loss of profits, data, business opportunities, or goodwill;
Damages resulting from unauthorised access to or alteration of your data due to your failure to maintain account security.
Compra's total aggregate liability to you for any claim arising out of or relating to these Terms shall not exceed the amount paid by you to Compra in the three (3) months immediately preceding the event giving rise to the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Compra and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any data you collect, process, or store using the Platform.
11. Modifications to Terms
Compra reserves the right to modify these Terms at any time. Where changes are material, we will provide at least 14 days' prior notice via email or a prominent notice on the Platform. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must discontinue use of the Platform before the effective date.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Mumbai, India.
Prior to initiating any legal proceedings, the parties agree to attempt to resolve any dispute amicably through good-faith negotiations for a period of at least 30 days.
13. GDPR - European Union Data Protection
If you or your survey respondents are located in the European Economic Area (EEA), the General Data Protection Regulation (EU) 2016/679 ("GDPR") may apply to the processing of personal data conducted through the Platform. In such cases, the following applies:
13.1 Roles
You act as the Data Controller in respect of personal data collected from your respondents. Compra acts as a Data Processor, processing such data only on your documented instructions and in accordance with a Data Processing Agreement ("DPA"), which is available upon request at legal@compra.survey.
13.2 Your Obligations
You must have a valid lawful basis under GDPR (e.g., consent, legitimate interest) before collecting personal data from EU residents via the Platform.
You are responsible for honouring data subject rights requests (access, erasure, portability, rectification) in respect of your respondents' data. Compra will assist you in fulfilling such requests within a reasonable timeframe.
You must ensure your surveys include appropriate privacy notices informing respondents of how their data will be used.
13.3 International Transfers
Where personal data of EEA residents is transferred outside the EEA (including to India), Compra will ensure appropriate safeguards are in place in accordance with GDPR Chapter V, including Standard Contractual Clauses (SCCs) or other approved transfer mechanisms.
13.4 Data Breach Notification
In the event of a personal data breach affecting EEA resident data, Compra will notify you without undue delay and in any case within 72 hours of becoming aware, to enable you to fulfil your own notification obligations to the relevant supervisory authority and affected data subjects.
14. CCPA - California Consumer Privacy
If you or your survey respondents are residents of the State of California, USA, the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA), may apply. The following provisions govern Compra's obligations in this context:
14.1 Roles
You are the "Business" as defined under the CCPA, and Compra acts as a "Service Provider", processing personal information only for the limited business purposes set out in these Terms and any applicable service agreement.
14.2 No Sale of Personal Information
Compra does not sell or share (as defined under the CCPA) personal information of California residents for cross-context behavioural advertising. Compra processes such data solely to provide the Platform services.
14.3 Your Obligations
You are responsible for providing California residents with a compliant privacy notice at or before the point of data collection, disclosing the categories of personal information collected and the purposes for which it is used.
You must establish a process to honour California residents' rights under the CCPA, including the right to know, right to delete, right to correct, and right to opt-out of sale/sharing. Compra will reasonably assist you in responding to such requests.
14.4 Data Retention
Compra will retain personal information of California residents only as long as necessary to fulfil the purposes outlined in these Terms, and will delete or de-identify such information upon the termination of your account or upon your written request, subject to applicable legal retention obligations.
15. General Provisions
Entire Agreement: These Terms, together with the Privacy Policy and any applicable Order Forms, constitute the entire agreement between you and Compra with respect to the Platform.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Compra's failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
Assignment: You may not assign your rights or obligations under these Terms without Compra's prior written consent. Compra may assign these Terms freely.
Force Majeure: Compra shall not be liable for delays or failures in performance resulting from causes beyond its reasonable control.
